# Register a private limited company in India (SPICe+)

## Before you start

- At least two directors (one resident in India) and two shareholders — the same people can be both
- A registered office address in India with a utility bill and an NOC from the owner
- PAN, Aadhaar, photo and address proof for every director and subscriber

Since the SPICe+ reform, incorporating a private limited company is a single web form in two parts on the MCA portal that bundles the name, the incorporation, director identification numbers, PAN, TAN, EPFO, ESIC, a professional-tax registration where applicable, and a bank account. The work is in the documents; the filing is fast.

## 1. Get Class 3 digital signatures

- [ ] Every proposed director and every subscriber to the memorandum needs a Class 3 DSC (video KYC, 1–2 days, a few hundred to a couple of thousand rupees each).
- [ ] Register the DSCs on the MCA portal.

## 2. Reserve the name (SPICe+ Part A)

- [ ] Search the MCA name database and the Trade Marks registry for conflicts.
- [ ] File Part A with up to two names in order of preference and the main business activity.
- [ ] Approval typically comes in 1–3 days; the name is reserved for 20 days.

## 3. Prepare the incorporation documents

- [ ] Registered office proof: latest utility bill (under two months) and an NOC or rent agreement from the owner.
- [ ] For each director/subscriber: PAN, Aadhaar or passport, address proof, photo, and the DIR-2 consent.
- [ ] Draft the e-MoA (INC-33) and e-AoA (INC-34) with the object clauses; the INC-9 declaration is auto-generated.

## 4. File SPICe+ Part B with the linked forms

- [ ] Part B: capital structure (authorised and paid-up), directors and subscribers with DIN allotment for up to three, registered office.
- [ ] AGILE-PRO-S: GSTIN (optional at this stage), EPFO, ESIC, professional tax (state-dependent) and the bank account opening.
- [ ] Attach the e-MoA and e-AoA, sign everything with the DSCs, pay the stamp duty and fees.

## 5. Receive the certificate

- [ ] The Registrar issues the Certificate of Incorporation with the CIN, and PAN and TAN are allotted with it — usually within 5–10 working days of a clean filing.
- [ ] Resubmissions for defects have a deadline; respond within it or the application lapses.

## 6. The first 180 days

- [ ] Open the bank account and deposit the subscribed capital.
- [ ] File INC-20A (declaration of commencement of business) within 180 days; appoint the first auditor within 30 days; hold the first board meeting within 30 days.
- [ ] Register for GST if turnover or activity requires it, and for state licences (Shops & Establishment, professional tax) as applicable.

## Where people get this wrong

- Picking a name without checking the trademark registry. MCA rejects names that clash with registered marks; check the Trade Marks search as well as the MCA name search.
- Ordering DSCs late. Every director and subscriber signs the SPICe+ bundle digitally; without valid Class 3 DSCs the filing cannot be submitted.
- Forgetting the post-incorporation deadlines. Declaration of commencement (INC-20A) within 180 days, first auditor within 30 days, and the first board meeting within 30 days are all statutory.
- Treating incorporation as the licence to trade. GST, professional tax, Shops & Establishment and industry licences are separate registrations.

## Questions

**Do I need a separate DIN application?**  
No. DINs for up to three directors are allotted through SPICe+ itself; only directors who already have a DIN quote it.

**What is the MCA fee?**  
Nil for authorised capital up to ₹15 lakh; state stamp duty on the MoA/AoA applies and varies by state, plus the DSC cost and any professional fee.

**How long is the name reservation valid?**  
An approved name in Part A is reserved for 20 days for a new company; file Part B within that window.
